Terms of Service

These Terms of Service (“TOS”) are between you and Good Clips LLC, doing business as Clipmax (“Clipmax,” “we,” “us,” or “our”). By accessing or using the services provided by Clipmax, you agree to be bound by these TOS. If you do not agree to these TOS, please do not use our services.

Clipmax provides AI-powered creator tools for generating, editing, and repurposing short-form video and related content. The service may include video analysis, transcription, clipping, captions, exports, workflow history, subscription management, and other creator workflow features we make available from time to time.

• You agree to use Clipmax's services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the service.
• Clipmax grants you a non-exclusive, non-transferable, limited right to access and use the services for your personal, creator, or business content workflows, subject to these TOS.

• You are solely responsible for the content you upload to, create with, or process through Clipmax, including how you use that content and any resulting outputs.
• You may upload to or process through Clipmax only videos, links, media, files, and other content that you own or are otherwise legally permitted to use. You are responsible for ensuring that your content and your use of it through Clipmax comply with applicable law and do not infringe or violate anyone else's rights.
• You may not use Clipmax to create, upload, process, transmit, or distribute content that is unlawful, fraudulent, threatening, abusive, harassing, defamatory, hateful, sexually exploitative, invasive of another person's privacy, or otherwise infringes or violates another person's rights.
• You may not use Clipmax to create, upload, process, transmit, or distribute deepfakes or other deceptive synthetic media that impersonates a real person or falsely depicts a real person as saying or doing something.

• You retain all ownership rights to the content you create or upload. However, by using Clipmax's services, you grant Clipmax a worldwide, non-exclusive, royalty-free license to use, reproduce, process, transcode, analyze, store, distribute, and display the content as reasonably necessary to provide, improve, secure, and support the service.
• Clipmax owns all rights to the software, applications, and intellectual property related to the service.

Clipmax may suspend or terminate your access to the services without prior notice if you breach these TOS, fail to pay amounts due, or use the services in a way that may harm Clipmax, other users, or third parties.

All sales are final. Clipmax does not offer refunds for any products or services once a transaction has been completed, except where required by applicable law or where our payment or subscription provider determines otherwise under its applicable policies. By making a purchase and getting access to our service, you acknowledge that you have read, understood, and accepted this no-refund policy.

• Plan Selection and Start: Your plan tier, billing interval, included features, and monthly credit allowance are based on the plan you select and purchase. Your subscription begins once we confirm that your initial payment has been successfully processed.
• Monthly Plans: Monthly subscriptions are billed at the monthly price stated at purchase and automatically renew each month until canceled.
• Annual Plans: Annual subscriptions are billed in one upfront payment at the annual price stated at purchase and automatically renew on the annual renewal date until canceled.
• Recurring Payment Authorization: By purchasing a subscription, you authorize Clipmax, through its payment providers, to automatically charge the payment method associated with your subscription at purchase and at each renewal until you cancel. Payment details are handled by our payment providers; Clipmax does not receive or store your full payment card number.
• Renewal Prices and Taxes: At renewal, you will be charged the then-current price for your plan. If we increase your subscription price, we will notify you before the increase takes effect, and you may cancel before renewal. Applicable taxes may be included in or added to subscription and add-on prices depending on your location and applicable law.
• Payment Method Updates: If your card issuer or payment network updates or replaces the payment method associated with your subscription, the updated payment information may be used for future recurring charges. If you add another payment method to your Clipmax billing profile, it may be used if your primary payment method fails. You may update your payment information through your Clipmax billing settings.
• Failed Payments: If a subscription payment fails, we may retry it. Until payment succeeds, features that require credits may be unavailable, and the credit allowance for that unpaid billing period will not be issued.
• Credits: Each Clipmax plan includes a usage allowance measured in credits. Credits are consumed when you use eligible Clipmax content-generation and processing features. The number of credits required depends on the tool and may also vary based on the selected model, settings, source length, or number or type of outputs. Credits have no cash value, are non-transferable, and may be used only for eligible Clipmax services. They are not stored value or a payment instrument. Subscription credits are issued in monthly allotments. Annual plans are paid upfront and receive their included credits in monthly allotments throughout the annual term. Unused subscription credits expire at the end of the applicable monthly credit period and do not roll over.
• Add-ons and Plan Changes: Add-ons may be offered separately. Subscribers may change their plan to another available tier or billing term at any time. The applicable price and billing terms are clearly shown for review and confirmation before any payment or plan change is processed. A plan change that requires payment takes effect only after that payment succeeds.

Clipmax provides digital services and does not ship physical goods. After we confirm successful payment for a plan purchase, renewal, or paid plan change, the applicable plan access and subscription credits are made available to the Clipmax account associated with the purchase. After we confirm successful payment for an add-on, the purchased add-on is made available to that account.

• Eligibility: You may cancel your subscription at any time without approval.
• Cancellation Process: Sign in to Clipmax and cancel your subscription through your account's billing settings. If you cannot access your billing settings, contact support@clipmax.io for help.
• Service Continuation: Cancellation stops automatic renewal. Your plan remains active through the end of the current paid subscription term. Subscription credits continue to expire on their normal monthly schedule, and any unused subscription credits expire when the paid term ends.
• Data Retention: Canceling your subscription does not automatically delete your Clipmax account. You may request deletion of your personal information, and we will process the request in accordance with applicable law and our Privacy Policy.

Clipmax may be used only by individuals who are at least 18 years old and have reached the age of majority where they live. By using Clipmax, you represent that you meet these eligibility requirements. We may suspend or terminate the account of any user who does not meet them.

To the fullest extent permitted by law, the services are provided "as is" and "as available" without warranties of any kind, express or implied. Clipmax does not guarantee that the services will meet your requirements or be uninterrupted, secure, or error-free. Results may vary depending on the source content, selected tool, model, settings, and other factors. Clipmax does not guarantee that generated or processed outputs will be accurate, complete, unique, or suitable for a particular purpose.

To the fullest extent permitted by law, Clipmax will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the services. Clipmax's total liability arising out of or relating to the services or these TOS will not exceed the amount you paid Clipmax during the 12 months before the event giving rise to the liability.

Clipmax may update these TOS from time to time. Updated TOS will be posted on this page with a revised “Last updated” date and will take effect when posted unless otherwise stated. Your continued use of Clipmax after the updated TOS take effect constitutes acceptance.
